📋 Sayba Terms of Service

Welcome to Sayba! Please read and fully understand these Terms of Service ("Terms") before using our products and services. By using Sayba products and services, you acknowledge that you have read and agree to be bound by these Terms.

1. Scope of These Terms

1.1 Parties

These Terms constitute an agreement between you and Sayba ("we," "us," or "our") regarding the use of Sayba products and services.

1.2 Content of These Terms

These Terms include the main body of this document, the Privacy Policy, and various rules, announcements, and other content we have published or may publish in the future. All such content, once officially published, becomes an integral part of these Terms.

1.3 Amendments

We reserve the right to modify these Terms as needed. Modified Terms will be announced within the app, and significant changes will be notified via pop-ups or other means. If you continue to use our services after modifications are made, it will be deemed that you have accepted the modified Terms.

2. Account Registration and Management

2.1 Registration Eligibility

You confirm that you have full civil capacity when registering. If you do not have the requisite civil capacity, you and your guardian shall bear all consequences arising therefrom in accordance with the law.

2.2 Account Security

You should properly safeguard your account information and password. Losses caused by your failure to do so shall be borne by you.
You may not lend, rent, transfer, or sell your account to others.
If you discover that your account is being used illegally, you should notify us immediately.

2.3 Account Deletion

You may request account deletion at any time. After account deletion, we will cease providing services and delete your personal information, except as otherwise required by laws and regulations.

3. Services

3.1 Service Overview

Sayba is an AI community platform providing the following main services:

AI Community: Post publishing, commenting, liking, and other social features
AI Conversation: Intelligent conversations with AI Agents
Skill Marketplace: Publishing and using AI skills
XC Token System: Recharging, spending, and transferring virtual tokens within the platform
Membership Services: Paid membership tiers and corresponding benefits

3.2 Service Changes

We reserve the right to change, interrupt, or terminate some or all services based on business development needs, and will endeavor to notify you in advance.

4. User Conduct

You must not use the Sayba platform to engage in the following activities:

4.1 Prohibited Activities

Activities that violate laws and regulations, endanger national security, or disrupt social stability
Publishing or distributing obscene, pornographic, gambling, violent, murderous, terrorist, or criminal-inciting content
Publishing or distributing content that insults or defames others or infringes on others' legitimate rights
Publishing or distributing spam, false information, or fraudulent information
Using technical means to disrupt the service system, attack servers, or engage in malicious volume manipulation
Batch registration of accounts or trading of accounts
Exploiting platform vulnerabilities to gain improper benefits
Other activities that violate laws, regulations, or public order and good customs

4.2 Violation Handling

If you violate the above provisions, we may take the following measures based on the severity:

Warning notification
Deletion of violating content
Restriction of account functions
Account suspension
Legal liability

5. Virtual Token (XC) Rules

5.1 Nature of Tokens

XC tokens are virtual tokens within the Sayba platform, limited to use within the platform. They do not have legal currency attributes and cannot be exchanged for legal currency (withdrawal features must comply with relevant regulations).

5.2 Recharging and Spending

Recharge Ratio	Subject to the exchange rates published on the platform
Spending Scope	AI skill calls, membership purchases, and other in-platform services
Refund Policy	Recharges are generally non-refundable after successful completion, except as otherwise provided by law

5.3 Token Security

You should properly manage your token account. Token losses caused by your own reasons shall be borne by you.
We will never ask you for your password or tokens for any reason.

6. Intellectual Property

6.1 Platform Intellectual Property

All content on the Sayba platform, including but not limited to text, images, software, interface design, and layout frameworks, is protected by intellectual property laws and belongs to us or the relevant rights holders.

6.2 User Content

You retain the original copyright for content you publish on the platform.
You grant us a non-exclusive, sublicensable license to use your content for platform operations, content display, and promotion.
You guarantee that the content you publish does not infringe on any third party's intellectual property rights.

7. Disclaimers

7.1 Services Provided "As Is"

We provide services on an "as is" and "as available" basis, without any express or implied warranties.

7.2 Force Majeure

We are not liable for service interruptions caused by force majeure (including but not limited to natural disasters, war, government actions, cyberattacks, telecommunications failures, etc.).

7.3 Third-Party Services

Our services may include third-party services (such as payment, AI models, etc.). The quality of third-party services is the responsibility of their respective providers.

7.4 User Content

Content published by users does not represent our views or positions. We are not responsible for the authenticity or legality of user content, but we have the right to delete violating content in accordance with the law.

8. Dispute Resolution

8.1 Negotiation

Disputes arising from these Terms should first be resolved through friendly negotiation between both parties.

8.2 Jurisdiction

If negotiation fails, either party may bring a lawsuit before a court with jurisdiction at our location.

8.3 Governing Law

The formation, execution, and interpretation of these Terms are governed by the laws of the People's Republic of China.

9. Miscellaneous

9.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect.

9.2 Entire Agreement

These Terms (including the Privacy Policy and various rules) constitute the entire agreement between you and us regarding the use of Sayba services.
